Candidate Profile Experience:
At least 5+ years of experience in Secretarial functions, preferably in service sector.
Complete Hands-on knowledge on all aspects of Company Secretarial work.
Must have adequate experience on all aspects of Corporate Laws.
Experience in Legal matters like drafting, agreement review, legal notices, handling cases in courts, etc.
Experience of working in Taxation.
Key Objectives of the Position
Ensuring that an organization complies with Legal and Secretarial Practice and maintains Standards of Corporate Governance
Act as a point of communication between the Board of Directors and Company Shareholders, reporting in a timely and accurate manner on company procedures and developments.
To act as a Compliance Officer of the company to ensure Compliance of all kinds of Statutory Enactments, rules & Laws governing the company & its Operations.Key Responsibilities
All Legal and Secretarial coordination.
Conducting Board Meetings and closing Minutes as per Company Law.
Drafting of Notice, agenda and Minutes of the meeting
Handling all Insurance matters.
Filing forms for Allotment of Shares- Form PAS-3, PAS 4 and PAS 5.
Keeping up-to-date all Records required as per Company Law.
Coordination for Service tax payment, return, etc.
Coordination for all TDS payments / Monthly Return / Quarterly Returns / Assessments.
All Agreement review and approval.
Due diligence for fund raising
Tagging of Balance Sheet and Profit and Loss Account data in XBRL template
Compliance of all statutory matters.
Drafting and Vetting of various business related agreements: Service Level Agreement between Bank and the Company, Renewal agreements, Merchant agreement.
Helping in all legal cases and Liaison with Advocates in all legal matters.
